Terms of Service

These Terms of Service ("Terms") govern your access to and use of InnovareAI Inc.'s ("InnovareAI," "we," "us," or "our") website, AI sales platform Sam, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms.

1. ELIGIBILITY

You must be at least 18 years old and able to form a binding contract. If using on behalf of an organization, you represent that you have authority to bind that organization.

2. ACCOUNT REGISTRATION

You agree to provide accurate information, maintain the security of your credentials, and notify us of any unauthorized access. You are responsible for all activity under your account.

3. ACCEPTABLE USE

You agree NOT to:

  • Violate any laws or regulations
  • Send spam or unsolicited messages
  • Violate anti-spam laws (CAN-SPAM, GDPR, CASL)
  • Impersonate others or misrepresent affiliation
  • Interfere with or disrupt the Services
  • Attempt to gain unauthorized access
  • Use the Services to harm minors
  • Transmit malware or malicious code
  • Scrape or collect data without authorization
  • Resell or redistribute the Services without permission

4. ANTI-SPAM COMPLIANCE

You are solely responsible for compliance with all applicable anti-spam and email marketing laws. You agree to:

  • Only contact prospects who have not opted out
  • Honor unsubscribe requests within 10 business days
  • Include accurate sender information
  • Not use deceptive subject lines
  • Maintain suppression lists

Violation of anti-spam requirements may result in immediate termination.

5. SUBSCRIPTION AND PAYMENT

  • Subscriptions are billed monthly or annually as selected
  • Payments are non-refundable except as required by law
  • We may change pricing with 30 days notice
  • Failed payments may result in service suspension

6. INTELLECTUAL PROPERTY

InnovareAI retains all rights to the Services, including software, designs, and content. You retain ownership of your data. You grant us a license to use your data solely to provide the Services.

7. DATA AND PRIVACY

Our collection and use of data is governed by our Privacy Policy. You are responsible for the lawful collection and use of any prospect data.

8. DISCLAIMERS

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE SPECIFIC RESULTS, INCLUDING NUMBER OF LEADS, MEETINGS, OR SALES.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INNOVAREAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. INDEMNIFICATION

You agree to indemnify and hold harmless InnovareAI from any claims arising from your use of the Services, violation of these Terms, or violation of any third-party rights.

11. TERMINATION

Either party may terminate at any time. We may suspend or terminate your access immediately for violation of these Terms. Upon termination, your right to use the Services ceases.

12. MODIFICATIONS

We may modify these Terms at any time. Material changes will be notified via email or prominent notice. Continued use after changes constitutes acceptance.

13. GOVERNING LAW

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14. DISPUTE RESOLUTION

Any disputes shall be resolved through binding arbitration in accordance with the AAA Commercial Arbitration Rules. Class action waiver applies.

15. MISCELLANEOUS

  • These Terms constitute the entire agreement
  • Failure to enforce any provision is not a waiver
  • If any provision is unenforceable, the remainder remains in effect
  • You may not assign these Terms without our consent
