Terms of Service
Effective date: July 8, 2026
These Terms of Service ("Terms") govern access to and use of the SAM platform and related services (the "Services") provided by the applicable InnovareAI contracting entity ("InnovareAI," "we," "us," or "our").
Contracting entity
If Customer is established in the European Economic Area, United Kingdom, or Switzerland, the contracting entity is Innovare GmbH, Taunusanlage 8, 60329 Frankfurt, Germany, unless otherwise stated in an order form or agreement.
For other customers, the contracting entity is Innovare, Inc., 1250 Borregas Ave, Sunnyvale, CA 94089, USA, unless otherwise stated in an order form or agreement.
For billing and payment administration, Innovare, Inc. may act as merchant of record and may charge Customer's selected payment method, including where Customer contracts for the Services with Innovare GmbH. This billing arrangement does not change the contracting entity for the Services or Innovare GmbH's responsibilities where Innovare GmbH is the applicable contracting entity.
Eligibility and accounts
The Services are intended for business use. You must have authority to bind the company or organization you represent. You are responsible for maintaining accurate account information, protecting credentials, and all activity under your account.
Services
The Services help customers run go-to-market workflows, including prospecting, enrichment, personalized outreach, engagement, reply handling, scheduling, and related automation.
InnovareAI may modify, improve, suspend, or discontinue features from time to time. We will use reasonable efforts to avoid materially reducing core paid functionality during a subscription term.
Customer data
Customer retains ownership of data submitted to the Services. Customer grants InnovareAI the rights necessary to process customer data to provide, secure, maintain, support, and improve the Services in accordance with these Terms, the Privacy Policy, and any applicable Data Processing Agreement.
Customer is responsible for the legality, accuracy, quality, and content of customer data and for ensuring it has all rights, notices, consents, and legal bases required to use the Services.
AI outputs
The Services may generate AI-assisted outputs. AI outputs may be incomplete, inaccurate, or unsuitable for a particular use. Customer is responsible for reviewing and approving outputs before use, including outreach content, personalization, claims, and compliance-sensitive communications.
Customer Personal Data processed on Customer's behalf is not used to train external or general-purpose AI models.
Acceptable use
Customer must comply with the Acceptable Use Policy. InnovareAI may suspend or limit access where it reasonably believes Customer's use is unlawful, harmful, abusive, security-sensitive, or violates the Acceptable Use Policy.
Privacy and data protection
Our Privacy Policy explains how we process personal information. Where InnovareAI processes personal data on behalf of Customer, the Data Processing Agreement applies if required by applicable data protection law or agreed by the parties.
Sub-processors and providers
InnovareAI may use service providers and sub-processors to provide the Services. Service sub-processors are listed on the Sub-processors page.
Billing and payment
Fees, billing cycles, payment terms, taxes, and plan details are described at checkout, in the applicable order form, or in the product interface.
Customer authorizes Innovare, Inc., Stripe, or another payment provider to charge Customer's selected payment method for applicable fees and taxes. All billing is processed through Stripe using Innovare, Inc.'s merchant accounts, for all customers regardless of location or contracting entity, in each customer's respective local currency where supported by Stripe. Fees are non-refundable except as required by law or expressly stated in writing.
Customer is responsible for taxes, duties, and similar governmental assessments, excluding taxes based on InnovareAI's income.
Trials, renewals, and cancellation
Trial, renewal, and cancellation terms are described at signup, checkout, in-product, or in an applicable order form. Unless otherwise stated, subscriptions renew automatically until cancelled.
Third-party services
The Services may integrate with third-party platforms, providers, or customer accounts, including email, LinkedIn, messaging, data enrichment, payment, and model providers. Customer is responsible for complying with third-party terms and for authorizing integrations.
InnovareAI is not responsible for third-party services outside its control.
Confidentiality
Each party may receive confidential information from the other. The receiving party will use confidential information only to perform or exercise rights under these Terms and will protect it using reasonable care. Confidentiality obligations do not apply to information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.
Intellectual property
InnovareAI and its licensors retain all rights in the Services, software, technology, documentation, trademarks, and related intellectual property. Customer may not copy, modify, reverse engineer, or create derivative works of the Services except as permitted by law or written agreement.
Customer grants InnovareAI a license to use feedback without restriction or obligation.
Warranties and disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. INNOVAREAI DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
INNOVAREAI DOES NOT GUARANTEE SPECIFIC BUSINESS OUTCOMES, DELIVERABILITY, RESPONSE RATES, REVENUE, SEARCH RANKINGS, PLATFORM AVAILABILITY, OR THE ACCURACY OF AI OUTPUTS.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, GOODWILL, OR DATA.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EACH PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO INNOVAREAI FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
These limitations do not apply where prohibited by law or to liability that cannot be limited under applicable law.
Indemnity
Customer will defend and indemnify InnovareAI from claims arising out of Customer's data, Customer's use of the Services, Customer's outreach or communications, violation of law, violation of third-party rights, or breach of these Terms.
Suspension and termination
InnovareAI may suspend or terminate access if Customer fails to pay fees, violates these Terms, creates security or legal risk, misuses the Services, or if required by law.
Upon termination, Customer's right to use the Services ends. Data deletion and return are governed by the Privacy Policy and, where applicable, the Data Processing Agreement.
Governing law
Unless otherwise stated in an order form or mandatory law provides otherwise, these Terms are governed by the laws applicable to the contracting entity. For Innovare GmbH, the governing law is Germany. For Innovare, Inc., the governing law is California, United States.
If Customer is located in the European Union or European Economic Area, the mandatory laws of Customer's country of residence and the EU General Data Protection Regulation (GDPR) apply to the extent they provide greater protection, and InnovareAI's processing of Customer's personal data is governed by the GDPR and our Privacy Policy.
Changes
InnovareAI may update these Terms from time to time. Material changes may be communicated by email, in-product notice, website notice, or other reasonable means. Continued use of the Services after the effective date of updated Terms constitutes acceptance where permitted by law.
